1. Who we are
MVM Marketplace operates as an online multi-vendor marketplace connecting buyers with independent sellers. We provide technology, payment facilitation where applicable, and customer support channels described on our site.
2. Eligibility & accounts
- You must be able to form a binding contract under applicable law.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- Provide accurate registration information and notify us of unauthorized use.
- We may suspend or terminate accounts that violate these Terms or harm the platform or other users.
3. Marketplace role
Many products are sold by third-party vendors. Each vendor is responsible for their listings, compliance with law, and fulfilment unless otherwise stated. MVM facilitates the transaction but is not the seller unless explicitly identified as such.
4. User responsibilities
- Use the Services lawfully and respectfully; no harassment, fraud, malware, scraping that violates our rules, or circumvention of security.
- Do not post false, misleading, or infringing content.
- Do not interfere with other users’ use or with our infrastructure.
- Comply with export, sanctions, and local laws applicable to your orders.
5. Orders, pricing & availability
Product descriptions, prices, and availability are set by vendors subject to our policies. We may cancel orders in cases of obvious pricing errors, legal restrictions, fraud risk, or stock issues; affected customers will be notified and refunded where payment was captured.
6. Payment terms
- Payment is processed at checkout through approved methods (cards, mobile wallets, bank transfer where offered).
- You authorize us and our payment partners to charge your selected method for the total amount shown, including taxes and shipping where applicable.
- Currency display and settlement may vary by region; your bank may charge foreign exchange or fees.
- Chargebacks and payment disputes must be raised according to your issuer’s rules; we may share order evidence to resolve disputes.
7. Shipping & returns
Delivery timelines and return rights are described in our Shipping & Delivery Policy and Refund & Return Policy. Vendor-specific rules may apply where disclosed in the listing.
8. Intellectual property
Content on the platform (logos, software, design) is owned by MVM or its licensors. You receive a limited, revocable license to use the Services as intended. Vendor listings remain the responsibility of each vendor regarding IP rights.
9. Disclaimer of warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available” without warranties of merchantability, fitness for a particular purpose, or non-infringement, except where mandatory law provides otherwise.
10. Limitation of liability
To the maximum extent permitted by applicable law, MVM and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from your use of the Services. Our aggregate liability for claims relating to the Services is limited to the greater of (a) the amount you paid to us for the specific order giving rise to the claim in the six months before the event, or (b) a nominal cap where no fees applied—unless mandatory law prohibits such caps.
11. Indemnity
You agree to defend and indemnify MVM against claims arising from your misuse of the Services, your content, or your breach of these Terms, subject to applicable law.
12. Governing law & disputes
These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law rules, unless a different jurisdiction is required for consumers in your country. Courts in Dhaka, Bangladesh shall have exclusive jurisdiction, subject to non-waivable consumer protections.
13. Changes
We may modify these Terms; continued use after notice constitutes acceptance where permitted by law. Material changes may require renewed acceptance.
